This Outdoor Photography Contract (the "Contract") is made and entered into this [DATE] by and between [CLIENT NAME] ("Client") and [PHOTOGRAPHER NAME] ("Photographer").

1. Services

Photographer agrees to provide the following services (the "Services") to Client:
Capture high-quality digital photographs at [LOCATION] on [DATE].
Provide [NUMBER] edited and retouched digital images to Client.
Grant Client a non-exclusive, perpetual license to use the images for personal and commercial purposes.

2. Fees and Expenses

Client agrees to pay Photographer a fee of [AMOUNT] for the Services. The fee includes all expenses associated with the Services, including travel, accommodation, and equipment rental.

3. Copyright and Ownership

Photographer shall retain all copyright and ownership of the images created during the Services. Client shall have a non-exclusive, perpetual license to use the images for personal and commercial purposes.

4. Delivery of Images

Photographer agrees to deliver the edited and retouched digital images to Client within [NUMBER] days of the shoot date. The images shall be delivered in high-resolution JPEG format.

5. Cancellation and Refund Policy

Client may cancel the Contract by providing written notice to Photographer at least [NUMBER] days before the scheduled shoot date. In the event of cancellation, Photographer shall refund Client a portion of the fee based on the following schedule:
Cancellation more than [NUMBER] days before the shoot date: 100% refund.
Cancellation within [NUMBER] to [NUMBER] days of the shoot date: 50% refund.
Cancellation within [NUMBER] days of the shoot date: No refund.

6. Weather Conditions

In the event of inclement weather on the scheduled shoot date, Photographer and Client may reschedule the shoot to a mutually agreeable date. If the shoot cannot be rescheduled, Photographer shall refund Client the full fee.

7. Models and Release Forms

If the Services involve the use of models, Client shall obtain and provide Photographer with release forms signed by the models. The release forms shall grant Photographer permission to use the models' images in the manner specified in the Contract.

8. Indemnification

Client shall indemnify and hold harmless Photographer from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney's fees, arising out of or in connection with the Services.

9. Governing Law and Jurisdiction

This Contract shall be governed by and construed in accordance with the laws of [STATE]. Any disputes arising out of or in connection with this Contract shall be resolved in the courts of [STATE].

10. Entire Agreement

This Contract constitutes the entire agreement between Client and Photographer with respect to the Services. No other representations or warranties, express or implied, shall be binding on either party.

11. Severability

If any provision of this Contract is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Amendment

This Contract may be amended only by a written instrument signed by both Client and Photographer.
